Intellasoft Digital Media
1. Acceptance of Terms:
By engaging with Intellasoft Digital Media including accessing our website, requesting services, or making payments, you agree to comply with and be bound by these Terms and Conditions. Special pricing arrangements for website design and set up may require the client to maintain hosting arrangement with Intellasoft. A typcial contract is WEBSITE DESIGN / SET UP AMORATIZATION for non profits.
2. Services:
Intellasoft offers various online and offline services as described on our website and as stated on our initial general invoice and / or email communication prior to commencement of services. In the agreement between the client and Intellasoft Digital Media. Digital Assets cannot be transferred until the terms of the contract are fulfilled. Service contracts are minimum of one to a maximum of 10 years.
3. Payment:
Clients agree to pay the fees as outlined in the agreement. Payment terms and methods will be specified on the invoice.
Hosting and email services are due immediately upon tender of invoice.
4. Intellectual Property:
All intellectual property rights, including but not limited to copyrights, trademarks, and design rights, related to the website design and content produced by Intellasoft Digital Media remain the property of Intellasoft Digital Media until full payment and or the terms and conditions of the general service is met by both parties.
4B Property
It is understood and accepted by the client that not all aspects of a website may be able to be transferred. Much of the resources that make up the website are either shared or proprietary to Intellasoft Digital Media. Clients should be aware that their website may not operate or function upon transfer to another hosting provider without some portions being redeveloped.
Due to potential for liablity Intellasoft Digital Media cannot assist in anyway with transfer
4C Intellasoft Digital Media will however provide as complete a copy of ther website as possible given the above [4B] limitation
5. Client Responsibilities:
Clients are responsible for providing accurate and complete information necessary for the provision of services. Any delays resulting from the client's failure to provide necessary information may impact project performance, value or timelines.
6. Website Content:
Intellasoft Digital Media offers to prepare general content not related to inventory as a gesture of goodwill up to a maximum of 12 pages. Clients are responsible for the accuracy and legality of the content provided for their website. Or any material. Intellasoft Digital Media is not liable for any claims arising from the content provided by the client.
7. Hosting Services:
Hosting services provided by Intellasoft Digital Media are subject to the terms of the hosting agreement. Intellasoft Digital Media is not responsible for any loss of data or damages resulting from client actions or external factors.
8. Termination:
Intellasoft Digital Media reserves the right to suspend or terminate services in case of non-payment or violation of
code of conduct
A. uploading offensive material
B. acting in bad faith, example: by allowing access to the website dashboard to competitors
C. making unreasonable demands of Intellasoft Digital Media
9. Limitation of Liability:
Intellasoft Digital Media is not liable for any indirect, consequential, or incidental damages, including but not limited to loss of profits or data, arising from the use of our services. Clients are responsible for any and all information generated and sent to
third parties by their website. Clients will not hold Intellasoft Digital Media for any errors made by itself in execution of its performace.
9B FROM TIME TO TIME INTELLASOFT WILL ASSIST WITH CONTENT, HOWEVER CLIENTS ARE PROVIDED A WEBSITE DASHBOARD / CMS AND ARE 100% RESPONSIBLE TO CHECK AND VALIDATE ALL CONTENT, FORM SUBMISSIONS AND FORWARDS FROM ITS WEBSITE TO EXTERNAL INTERESTS.
10. WEBSITE DOWNTIME
Clients are expected to notify Intellasoft Digital Media immediately of any interruption in their website.
10. Confidentiality:
Intellasoft Digital Media will treat client information as confidential and will not purposely or malicouslly disclose it to third parties. Any attempt to suggest or target Intellasoft Digital Media with any attempt to do so will result in account suspension.
11. Changes to Terms:
Intellasoft Digital Media reserves the right to modify these Terms and Conditions at any time.
12. Governing Law:
These Terms and Conditions are governed by the laws of Canada. Any disputes arising from these terms will be resolved through arbitration in accordance with common Judicial and / or Arbitration processes
